Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Prodeen website and services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1. Definitions
- Customer: the legal entity entering into an agreement with Prodeen.
- User: any individual authorized by the Customer to access the Services.
- Services: the Prodeen platform, software, and related services provided by Prodeen.
2. Use of the Services
The Services may only be used for lawful business purposes and in accordance with these Terms. Customer is responsible for all actions taken by its Users and for ensuring compliance with applicable laws and regulations.
3. Customer Data
3.1 Ownership
As between the parties, Customer retains all rights, title, and interest in data and content uploaded to the Services (“Customer Data”).
3.2 Data Protection
To the extent Prodeen processes personal data on behalf of the Customer, such processing is governed by the Prodeen Data Processing Agreement (DPA), which is incorporated by reference into these Terms.
4. Data Hosting and Sub-processors
Customer Data is primarily hosted within the European Union. Prodeen may use authorized sub-processors, including providers of authentication, infrastructure, analytics, and customer relationship management services, as described in the DPA.
5. Security
Prodeen implements appropriate technical and organizational measures designed to protect Customer Data. However, no system is completely secure, and Prodeen does not guarantee absolute security.
6. Intellectual Property
All intellectual property rights in and to the Services, including software, models, algorithms, and documentation, are owned by Prodeen or its licensors. No rights are granted except as expressly set out in these Terms.
6A. Artificial Intelligence Output and Mandatory Human Review
AI Output Disclaimer
The Services utilize artificial intelligence and machine learning technologies (“AI”) to generate suggestions, regulatory summaries, alerts, analytics, and other data outputs (“AI Outputs”). Customer acknowledges that AI Outputs are generated using probabilistic models and may contain errors, omissions, hallucinations, or inaccuracies.
Mandatory Human Review
The Services are provided solely as a productivity and decision-support tool and do not replace professional judgment. Customer agrees that a qualified human subject matter expert must review, validate, and verify all AI Outputs prior to any reliance or use, including but not limited to:
- product formulations,
- ingredient assessments,
- regulatory interpretations,
- labeling or compliance claims,
- manufacturing, production, or commercialization decisions.
No Reliance Without Verification
Customer shall not rely on AI Outputs without such human verification. Prodeen assumes no responsibility or liability for decisions, actions, or outcomes based on AI Outputs that have not been independently reviewed and validated by a qualified human expert.
No Fully Automated Decision-Making
The Services do not perform fully automated decision-making within the meaning of Article 22 GDPR.
7. Confidentiality
Each party shall protect the other party’s confidential information and shall not disclose such information except as permitted under these Terms or required by law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Prodeen shall not be liable for indirect, incidental, special, consequential, or punitive damages. Prodeen’s total liability shall be limited as set out in the applicable commercial agreement between the parties.
9. Termination
Prodeen may suspend or terminate access to the Services in accordance with the applicable agreement or in the event of material breach of these Terms.
10. Governing Law
These Terms shall be governed by the laws specified in the applicable agreement, without prejudice to mandatory data protection or consumer protection laws.
11. Regional and Mandatory Law Provisions
European Union
Nothing in these Terms limits or excludes rights or obligations that cannot be limited under applicable EU law, including mandatory data protection and product safety regulations applicable in a business-to-business context.
Switzerland
Where Swiss law applies, these Terms shall be interpreted in accordance with the Swiss Federal Act on Data Protection (nFADP). References to the GDPR shall be deemed to include equivalent protections under Swiss law.
Brazil
Where the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados – LGPD) applies, Prodeen processes personal data in accordance with its principles. Nothing in these Terms limits data subject rights that cannot be waived under Brazilian law.
12. Changes to the Terms
Prodeen may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
